Cinegrade App — End User License Agreement (EULA)
These Terms of Use ("Terms") constitute a legally binding End User License Agreement ("EULA") between you ("User" or "you") and Umay ("Developer," "we," "us," or "our") governing your use of the Cinegrade App ("App"), including any updates or future versions thereof.
This EULA is also subject to Apple's standard EULA terms where applicable. In the event of any conflict between this EULA and Apple's standard EULA, Apple's terms shall govern with respect to Apple's responsibilities.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple-branded device that you own or control, solely for your personal, non-commercial purposes.

The App is licensed, not sold, to you. We retain all rights, title, and interest in and to the App not expressly granted to you in these Terms.
Cinegrade App may offer optional in-app purchases or auto-renewing subscription plans to unlock premium features ("Premium"). All purchases and subscription billing are processed exclusively through Apple's App Store. We do not collect or store your payment information.
All refund requests for App Store purchases must be directed to Apple. We have no ability to process refunds for purchases made through the App Store. Please visit Apple's support page for information on their refund policy.
You agree to use the App only for lawful purposes and in a manner consistent with these Terms. You must not use the App:
The App and all of its original content, features, functionality, design, and underlying code are and remain the exclusive property of Umay and are protected by applicable intellectual property laws. The Cinegrade App name, logo, and related marks are trademarks of Umay.
Content you create within the App (such as your personal film grades and notes) remains yours. You grant us no rights to that content.
Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.
The App may link to or integrate with Apple services (such as the App Store). These third-party services are governed by their own terms and privacy policies. We are not responsible for the content or practices of any third-party services.
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the App will meet your requirements; (b) the App will be uninterrupted, timely, secure, or error-free; (c) the results obtained from using the App will be accurate or reliable; or (d) any errors in the App will be corrected.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UMAY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP EXCEED THE AMOUNT YOU PAID US (IF ANY) FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Umay from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the App.
These Terms are effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any provision of these Terms. Upon termination, you must cease all use of the App and delete all copies from your devices. Sections 5, 8, 9, 10, 12, and 13 shall survive termination.
We reserve the right to discontinue the App or any features thereof at any time without notice.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to its conflict of law principles.
Any dispute arising out of or in connection with these Terms, including any disputes regarding the existence, validity, or termination thereof, shall be subject to the exclusive jurisdiction of the courts of Türkiye.
Notwithstanding the foregoing, nothing in this section limits Apple's rights as a third-party beneficiary under these Terms, as contemplated by Apple's App Store Review Guidelines.
You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof. We are solely responsible for the App and its content, and Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
We reserve the right to modify these Terms at any time. When we do, we will update the Effective Date at the top of this page. We may also notify you through the App or through the App Store listing. Your continued use of the App after any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the App.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Umay regarding the App and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms.
